1. Acceptance of Terms

Welcome to Paid2Say. These Terms of Service ("Terms") govern your access to and use of the Paid2Say platform, website, and services (collectively, the "Service") operated by Paid2Say ("we," "us," or "our"), located in San Antonio, Texas.

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service. If you are using the Service on behalf of a business or entity, you represent that you have authority to bind that entity to these Terms.

2. Description of Service

Paid2Say is an affiliate marketing platform that connects local businesses with individuals who promote those businesses in exchange for commissions on referred customers. The platform enables:

  • Businesses to create and manage affiliate (earner) programs, set commission structures, and track referrals.
  • Micro-Owners (Affiliates) to discover local businesses, claim category-exclusive positions, promote businesses to their networks, and earn cash commissions on successful referrals.

Paid2Say acts as an intermediary platform facilitating the relationship between businesses and affiliates. We are not a party to the underlying transactions between businesses and their customers.

3. User Accounts

3.1 Account Types

The Service offers two types of accounts:

  • Business Accounts — For businesses that want to create and manage affiliate programs, set commission rates, and track referral performance.
  • Affiliate Accounts (Micro-Owner Accounts) — For individuals who want to promote businesses and earn cash commissions on successful referrals.

3.2 Account Registration

You must provide accurate, current, and complete information during registration and keep your account information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

3.3 Account Eligibility

You must be at least 18 years old and legally able to enter into contracts to use the Service. Business accounts must be registered by an authorized representative of the business.

4. Affiliate Program Rules

4.1 Category Exclusivity

Paid2Say operates on a category-exclusivity model. Each business is assigned to a category, and only one business per category may be listed in a given area. This means that when you claim a earner position for a business, you are the exclusive affiliate for that business's category in your network.

4.2 Claiming Positions

Affiliates may browse available businesses and claim open earner positions. Once a position is claimed, it is reserved for that affiliate subject to any performance requirements or terms set by the business.

4.3 Referral Tracking

All referrals must be made through the Paid2Say platform using your unique referral links, codes, or other tracking methods provided by the Service. We are not responsible for referrals that cannot be tracked due to improper use of referral methods.

5. Commission Structure & Fees

5.1 Commission Rates

Commission rates are set by each individual business and are displayed on the business's profile before you claim a position. Businesses may offer flat-rate commissions, percentage-based commissions, or other structures as supported by the platform.

5.2 Platform Fees

Paid2Say charges a platform fee on transactions processed through the Service. Current fee structures are detailed on our pricing page and may be updated from time to time with notice to affected users.

5.3 Commission Confirmation

Commissions are tracked in real time but are subject to a confirmation period during which the business verifies the referral. Commissions may be reversed if a referral is determined to be invalid, fraudulent, or if the underlying transaction is refunded or cancelled.

6. Payouts

6.1 W-9 Requirement

Before receiving your first payout, you must submit a completed W-9 form (or W-8BEN for non-U.S. persons, if applicable) through the platform. We are required to collect this information for tax reporting purposes. No payouts will be processed until valid tax documentation is on file.

6.2 Minimum Payout Threshold

Payouts are subject to a minimum threshold amount as displayed in your account dashboard. Earned commissions below the minimum threshold will accumulate until the threshold is met.

6.3 Payout Methods

Payouts are processed through Tremendous, our third-party payout partner. Available payout methods may include direct bank transfer, prepaid cards, gift cards, or other methods as made available through Tremendous. You are responsible for selecting your preferred payout method and ensuring your payout information is accurate.

6.4 Payout Schedule

Payouts are processed on a regular schedule as detailed in your account dashboard. Processing times may vary depending on the payout method selected and any applicable verification requirements.

6.5 Tax Responsibility

You are solely responsible for reporting and paying any taxes owed on income earned through the Service. Paid2Say will issue 1099 forms as required by law.

7. Prohibited Conduct

You agree not to:

  • Submit fraudulent, fake, or self-generated referrals.
  • Use bots, scripts, or automated tools to generate referrals or manipulate the platform.
  • Send unsolicited messages, spam, or bulk communications to promote referral links.
  • Misrepresent your relationship with any business or the Paid2Say platform.
  • Create multiple accounts to circumvent platform rules or limitations.
  • Engage in any activity that artificially inflates referral metrics or commissions.
  • Use the Service for any illegal purpose or in violation of any applicable laws.
  • Interfere with or disrupt the Service or servers or networks connected to the Service.
  • Attempt to gain unauthorized access to any part of the Service or other users' accounts.
  • Scrape, harvest, or collect data from the Service without our written consent.

Violation of these rules may result in immediate account suspension or termination, forfeiture of unpaid commissions, and potential legal action.

8. Intellectual Property

8.1 Our Property

The Service, including its design, features, content, code, logos, trademarks, and all related intellectual property, is owned by Paid2Say or its licensors. You may not copy, modify, distribute, sell, or lease any part of the Service without our written permission.

8.2 Your Content

You retain ownership of content you submit to the platform (such as business descriptions or promotional materials). By submitting content, you grant Paid2Say a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content in connection with the Service.

8.3 Affiliate Use of Business Materials

Businesses may provide marketing materials for affiliates to use in promotions. Use of these materials is limited to promoting the business through the Paid2Say platform and must comply with any guidelines provided by the business.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected. We do not guarantee any specific results from using the Service, including any particular level of referrals or commissions.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAID2SAY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

  • Your use of or inability to use the Service.
  • Any unauthorized access to or alteration of your data or transmissions.
  • Any conduct or content of any third party on the Service.
  • Any disputes between businesses and affiliates.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNTS PAID TO YOU THROUGH THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless Paid2Say and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of another party.

12. Termination

We may suspend or terminate your account at any time, with or without cause, and with or without notice. You may also terminate your account at any time by contacting us.

Upon termination, your right to use the Service will immediately cease. Any pending commissions that have been confirmed but not yet paid out will be processed according to our standard payout schedule, provided you are not in violation of these Terms. Commissions that are unconfirmed or associated with fraudulent activity will be forfeited.

13. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Bexar County, Texas, and you consent to the personal jurisdiction of those courts.

14. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.

15. General Provisions

  • Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Paid2Say regarding the Service.
  • Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
  • Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
  • Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
